Terms & Conditions of Service

1. Acceptance of Terms

Verbal authorization, written signature, email confirmation, or payment of any amount constitutes full acceptance of these Terms and Conditions. Acceptance of any estimate or commencement of work by the Client confirms agreement without exception. Clients who do not agree to these terms must notify Balboni Electric in writing before any work commences.

2. Estimates and Pricing

2.1 Estimate Validity

All written estimates are valid for thirty (30) days from the date of issue unless otherwise stated. Estimates are subject to change due to unforeseen site conditions, material price fluctuations, supply chain disruption, or code requirements discovered during the course of work.

2.2 Material Price Escalation

Due to the volatility of commodity markets, all estimates are valid for 60 days and are subject to material price adjustment at the time of scheduling and purchase. In particular, copper wire, conduit, and copper-based components are priced based on market rates at the time of estimate and are subject to a material escalation surcharge if the market price of copper increases by more than three percent (3%) between the estimate date and the date materials are procured. Balboni Electric will notify the Client of any such adjustment prior to purchasing materials. The Client may accept the revised pricing or cancel without penalty, provided no materials have yet been ordered.

2.3 Scope Changes

Any work requested beyond the original scope of the estimate will be subject to additional charges. Balboni Electric will make reasonable efforts to notify the Client of scope changes prior to performing additional work; however, where safety, code compliance, or project continuity requires immediate action, work may proceed and will be billed accordingly.

2.4 Hidden Conditions

Estimates are based on visible and accessible conditions at the time of assessment. Concealed wiring, outdated panels, non-compliant existing installations, asbestos, mold, structural obstructions, or other hidden conditions discovered during work may result in additional costs not included in the original estimate.

3. Payment Terms

3.1 Payment Schedule

Unless otherwise agreed in writing, full payment is due upon completion of work. For larger projects, Balboni Electric may require a deposit and/or staged progress payments as outlined in the project estimate.

3.2 Late Payment

Invoices not paid within thirty (30) days of the invoice date are subject to a late fee of 1.5% per month (18% per annum) on the outstanding balance, or the maximum rate permitted by applicable law, whichever is less.

3.3 Disputed Invoices

Clients must notify Balboni Electric of any billing disputes in writing within ten (10) days of invoice receipt. Failure to dispute within this period constitutes acceptance of the invoice as accurate and payable in full. Undisputed portions of an invoice remain due and payable regardless of any dispute.

3.4 Collections

In the event of non-payment, Balboni Electric reserves the right to pursue collection through all lawful means, including referral to a collections agency or legal action. The Client shall be responsible for all costs of collection, including reasonable attorneys' fees and court costs.

3.5 Contractor's Lien Rights

Balboni Electric expressly reserves all rights to file a mechanic's lien or materialman's lien against the property where services were rendered, in accordance with applicable state law, in the event of non-payment.

4. Limited Warranty

4.1 Workmanship Warranty

4.2 Materials Warranty

Materials and equipment supplied by Balboni Electric are warranted only to the extent of the original manufacturer's warranty. Balboni Electric makes no independent warranty on materials beyond what the manufacturer provides and will not be held liable for material defects outside of manufacturer coverage.

4.3 Warranty Exclusions

The limited warranty described in Section 4.1 does not apply to, and Balboni Electric expressly disclaims all warranty liability for:

• Damage caused by misuse, abuse, neglect, or unauthorized modification of any electrical system or component
• Work performed or altered by any third party not authorized by Balboni Electric after our services are rendered
• Damage resulting from acts of God, natural disasters, flooding, fire, lightning, power surges, or other events beyond our control
• Pre-existing conditions, code violations, or deficiencies present prior to Balboni Electric's involvement
• Normal wear and tear of materials, components, or equipment
• Consequential damage arising from the failure of manufacturer-supplied materials or equipment
• Customer-supplied materials, fixtures, or equipment installed at the Client's request
• Failure to follow post-service maintenance recommendations provided by Balboni Electric
• Damage arising from overloading, improper use, or unauthorized system expansions

4.4 Warranty Claim Procedure

To make a warranty claim, the Client must notify Balboni Electric in writing within the applicable warranty period. Balboni Electric will inspect the issue and, if covered, will repair or replace the defective workmanship at no charge. Travel charges may apply for service calls outside our standard service area.

4.5 Exclusive Remedy

The remedies set forth in this Section 4 constitute the Client's sole and exclusive remedy for defective work or materials. No other warranties, express or implied, are provided.

5. Limitation of Liability and Legal Exclusions

5.1 No Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BALBONI ELECTRIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO SERVICES PROVIDED, INCLUDING BUT NOT LIMITED TO LOSS OF INCOME, LOSS OF BUSINESS, LOSS OF DATA, PROPERTY DAMAGE NOT DIRECTLY CAUSED BY OUR NEGLIGENCE, OR ANY OTHER ECONOMIC LOSS, EVEN IF BALBONI ELECTRIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5.2 Maximum Liability Cap

In no event shall Balboni Electric's total aggregate liability to any Client exceed the total amount paid by the Client to Balboni Electric for the specific services giving rise to the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, negligence, strict liability, or otherwise.

5.3 Code Compliance Disclaimer

Balboni Electric performs all work in good faith compliance with applicable electrical codes and regulations in effect at the time services are rendered. We are not responsible for changes in local, state, or federal codes enacted after the completion of work, nor for retroactive enforcement actions by any authority having jurisdiction.

5.4 Third-Party Damage

Balboni Electric is not liable for damage to property, systems, or equipment caused by pre-existing deficiencies, concealed hazards, or the actions of third-party contractors, utilities, or service providers.

5.5 Permit and Inspection Disclaimer

Where permits are required, it is the Client's responsibility to ensure all necessary permits are obtained unless Balboni Electric has agreed in writing to manage permitting as part of the scope of work. Failure of third-party inspections due to pre-existing conditions or Client-requested work outside of code does not constitute a defect in Balboni Electric's workmanship.

5.6 Utility and Grid Conditions

Balboni Electric is not responsible for damage to electrical systems, appliances, or equipment resulting from utility company actions, grid fluctuations, power surges, or service interruptions originating outside of our installed work.

6. Client Responsibilities

The Client agrees to:

• Provide safe, unobstructed access to all areas where work is to be performed
• Disclose all known hazards, pre-existing conditions, or prior electrical work on the property
• Secure pets and ensure a safe working environment for Balboni Electric personnel
• Obtain any required permits, HOA approvals, or landlord authorizations not included in the written scope of work
• Not perform or authorize any work on the electrical systems during active service by Balboni Electric without prior written consent
• Notify Balboni Electric promptly of any concerns or issues arising after service completion

7. Cancellation and Rescheduling

Cancellations or rescheduling requests must be made at least forty-eight (48) hours prior to the scheduled service date. Cancellations made with less than 48 hours' notice may be subject to a cancellation fee equal to the cost of any materials ordered and/or a minimum service charge. Deposits are non-refundable if cancellation occurs within 24 hours of scheduled work commencement.

8. Indemnification

The Client agrees to indemnify, defend, and hold harmless Balboni Electric, its owners, officers, employees, and subcontractors from and against any and all claims, losses, damages, liability, costs, and expenses (including reasonable attorneys' fees) arising from: (a) the Client's misuse or modification of installed systems; (b) inaccurate or incomplete information provided by the Client; (c) the acts or omissions of third parties; or (d) any pre-existing property conditions not disclosed to Balboni Electric prior to commencement of work.

9. Dispute Resolution

9.1 Good Faith Negotiation

In the event of any dispute arising from or related to services provided by Balboni Electric, both parties agree to first attempt resolution through good faith negotiation. Written notice of a dispute must be provided to Balboni Electric before any formal proceedings are initiated.

9.2 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State in which services were performed, without regard to conflict of law principles.

9.3 Venue

Any legal proceedings arising from this Agreement shall be brought exclusively in the courts of competent jurisdiction in the county where the services were rendered. Both parties consent to personal jurisdiction in such courts.

10. General Provisions

10.1 Entire Agreement

These Terms and Conditions, together with any written estimate or work order signed by both parties, constitute the entire agreement between the parties and supersede all prior negotiations, representations, warranties, or understandings.

10.2 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.3 Waiver

Failure by Balboni Electric to enforce any provision of this Agreement shall not constitute a waiver of our rights to enforce such provision in the future.

10.4 Amendments

No amendment or modification of these Terms and Conditions shall be binding unless made in writing and signed by an authorized representative of Balboni Electric.

10.5 Force Majeure

Balboni Electric shall not be in default or liable for delays in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, material shortages, utility failures, government actions, or labor disputes.
